Legal
Terms & Conditions
Effective [date] · Last updated [date]
These terms govern your use of the Kingdom Assets website and the way we receive enquiries. They are written plainly, and they set out clearly what this website is, what it is not, and the basis on which any relationship between us begins. Please read them before using the site or making an enquiry.
1 About us and these terms
This website is operated by [legal entity name], trading as Kingdom Assets (“Kingdom Assets”, “we”, “us”, “our”), a private property acquisition practice based in Edinburgh and London. [legal entity name] is a company registered in Scotland under number [company number], with its registered office at [registered office address]. You can reach us at enquiries@kingdomassets.co.uk.
We are supervised by HM Revenue & Customs under the Money Laundering Regulations, registration number [number].
“You” means the person accessing this website or making an enquiry. These terms, together with our Privacy Policy and Cookie Policy, apply to your use of the site.
2 Acceptance
By accessing or using this website, you accept these terms. If you do not accept them, please do not use the site. We may update them from time to time under section 19, and your continued use means you accept the current version.
3 What this website is
This website is an introduction to our practice and an invitation to begin a conversation. Its content is provided for general information only. Nothing on it:
is an offer, or an invitation to make an offer, capable of acceptance;
constitutes advice of any kind, or a recommendation to acquire, dispose of or deal in any property or investment;
describes property currently available, unless expressly stated in writing to you;
creates any client, agency, fiduciary or advisory relationship between us.
4 No advice and no reliance
We are property acquisition advisers, not your legal, tax, financial or investment advisers, and nothing on this website is legal, tax, financial, investment or valuation advice.
We are not authorised by the Financial Conduct Authority. We do not arrange or advise on mortgages, home purchase plans (including Sharia-compliant arrangements) or other financial products. Where finance is needed, we introduce you to appropriately authorised lenders and advisers, and work alongside your counsel.
Prime property involves significant sums and significant risk; values can fall as well as rise. You should take your own professional advice before making any decision, and you should not rely on the general content of this website in doing so.
5 Enquiries, and how a relationship begins
You are welcome to make an enquiry, or to be introduced to us by a trusted adviser, without obligation and in confidence. Making an enquiry does not make you a client, and places neither you nor us under any obligation.
We accept a small number of clients at any time. A relationship between us begins only when we have agreed to act and the basis of our engagement is recorded in a separate written mandate signed by both of us. That mandate, not this website, governs the services we provide, our fees, and our respective responsibilities. We may decline to act, and may decline any enquiry, at our discretion.
6 Our services, in outline
We act only for buyers. We never act for the seller of a property, and we hold no property for sale, so that our judgement carries no divided interest. We accept no fee, commission or other incentive from any seller, developer or agent, or from any lender or adviser we introduce you to. If anyone who introduced you to us is to receive a fee from us, we will tell you before you instruct us.
Any description of our services on this website is a general outline; the precise scope of what we do for you is set out in your mandate.
7 Private invitations
From time to time, a private page of this website, reached only by invitation, may present a single asset other than property, such as a vehicle registration, that belongs to our principal. Where it does, the page says so and names the seller. In any such sale we do not act as your buying agent, and you should take your own advice. Nothing on such a page is an offer capable of acceptance, and the terms of any sale are agreed separately, in writing.
8 Eligibility
You must be at least 18 years old, and able to enter into a binding agreement, to use this website and to instruct us. Where you act for another person or entity, you confirm you are authorised to do so.
9 Client due diligence and anti-money-laundering
As a matter of law and of principle, we must know those for whom we act. Before and during any engagement we are required to carry out identity, source-of-funds and source-of-wealth checks, and sanctions and politically-exposed-person screening. We may decline to act, suspend our work, or withdraw, where we are unable to complete these checks to our satisfaction or where the law requires it. We handle the information involved as described in our Privacy Policy.
10 Confidentiality
Discretion is fundamental to our work. Correspondence you send us through this website or otherwise is received in confidence, and we will not disclose your identity, your search or your intentions except to those necessary to act on your instructions, or where required by law. In return, we ask that you keep confidential any non-public information we share with you.
11 Intellectual property
All content on this website, including text, imagery, graphics, layout, the Kingdom Assets name and wordmark, and its selection and arrangement, is owned by us or our licensors and is protected by intellectual property laws. You may view and print pages for your own personal, non-commercial reference. You may not otherwise copy, reproduce, republish, distribute, adapt or exploit any part of the site without our prior written permission. The Kingdom Assets name and wordmark may not be used without our consent.
12 Acceptable use
You agree not to use this website:
in any unlawful or fraudulent way, or for any harmful purpose;
to gain unauthorised access to, interfere with, or damage the site or any system or network connected to it;
to introduce any virus, malware or other harmful material;
to collect or harvest information about others, or to send unsolicited communications.
13 Information you provide to us
Where you submit information through this website, you confirm that it is accurate and that you are entitled to provide it. You grant us permission to use that information to respond to and act on your enquiry. We may decline or withdraw from any enquiry or instruction at our discretion, as set out in section 5.
14 Third-party links
This website may contain links to sites operated by others. These are provided for convenience only. We do not control, and are not responsible for, their content, availability or practices, and a link does not imply our endorsement.
15 Availability of the website
We provide this website on an “as is” and “as available” basis. While we take care over its content, we do not warrant that it will be uninterrupted, error-free, secure or free from viruses, or that the information on it is complete, accurate or current. We may change, suspend or withdraw all or part of the site at any time without notice.
16 Our liability to you
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
Subject to that, and in connection with your use of this website:
we exclude all implied conditions, warranties and representations to the fullest extent permitted by law;
we are not liable for any loss of profit, revenue, business, goodwill, opportunity or anticipated saving, or for any indirect or consequential loss;
we are not liable for any loss arising from your reliance on the general content of this website;
our total liability to you arising out of or in connection with your use of this website is limited to £100.
This section concerns your use of the website. Our responsibilities where we act for you as a client are governed by your mandate, not by these terms.
17 Events beyond our control
We are not responsible for any failure to perform, or delay in performing, any obligation under these terms that is caused by an event beyond our reasonable control.
18 Privacy and cookies
Our use of your personal information is governed by our Privacy Policy, and our use of cookies by our Cookie Policy. By using this website you acknowledge those policies.
19 Changes
We may revise these terms from time to time to reflect changes in our practice or the law. The version in force is the one published on this page, with the date shown at the top. Please review it when you visit.
20 General
These terms, and our Privacy and Cookie Policies, are the entire agreement between us regarding your use of this website. If any provision is found to be unlawful or unenforceable, the remainder continues in force. Our failure to enforce a term is not a waiver of it. You may not transfer your rights or obligations under these terms without our consent; we may transfer ours to a successor to our business.
These terms do not confer any right on any third party, whether under the Contract (Third Party Rights) (Scotland) Act 2017 or otherwise. They are written in English; where we provide a translation of them, or of any page of this website, the English version prevails.
21 Governing law and jurisdiction
These terms, and any dispute arising out of or in connection with them or your use of this website, are governed by the law of Scotland, and the Scottish courts have jurisdiction. If you are a consumer living elsewhere in the United Kingdom, you may also bring proceedings in the courts of the part of the United Kingdom where you live.
22 Complaints and redress
If something has fallen short, we would want to know, and to put it right. Please write to us at enquiries@kingdomassets.co.uk.
We are a member of The Property Ombudsman scheme, membership number [number]. Our complaints procedure is available on request, and where a complaint cannot be resolved between us, you may refer it to The Property Ombudsman at tpos.co.uk.
Concerns about how we handle personal information are dealt with under section 12 of our Privacy Policy.
